1. Contracting Party and Scope
1.1 Contracting Party
These General Terms and Conditions (“Terms”) govern the contractual relationship between Galvano Events GmbH, Bahnhofstrasse 71, 8001 Zurich, Switzerland, registered in Switzerland (“Galvano”, “we”, “us”), and the applicant, member or customer identified in the relevant application, order, booking, proposal or account (“Member”, “you”).
1.2 Scope of Application
These Terms apply to:
a. applications for and use of Galvano membership programmes;
b. access to and use of concierge, lifestyle management, travel, event, hospitality and related services arranged, coordinated, sourced, booked or otherwise provided by Galvano;
c. any purchase, booking, reservation, procurement or facilitation of goods, tickets, services, experiences or benefits through Galvano; and
d. any use of Galvano’s website, digital channels, communication channels or member account in connection with the above.
1.3 Supplementary Contractual Documents
The contractual relationship between Galvano and the Member may also include, where applicable:
a. the membership application and acceptance;
b. a membership confirmation, proposal, offer, order confirmation or invoice;
c. a specific service description, membership plan or benefits schedule;
d. supplier terms and conditions; and
e. Galvano’s privacy notice in its current version.
In the event of a conflict, the following order of precedence applies unless expressly agreed otherwise in writing:

individual written agreement / offer / order confirmation;

specific membership plan or service description;
-
these Terms;
-
supplier terms, to the extent applicable to the relevant third-party service.
1.4 Consumer and Corporate Members
These Terms apply to both private individuals and corporate customers. Where a membership or service is held by a legal entity, all references to the “Member” include the legal entity and, where relevant, its authorised users, employees, officers or representatives.
2. Nature of Galvano’s Services
2.1 Membership and Concierge Model
Galvano operates a premium membership and concierge platform. Depending on the membership tier and the requested service, Galvano may:
a. provide access to member benefits, privileges and preferential conditions;
b. source, coordinate, organise, reserve, procure or facilitate third-party goods or services;
c. act as a concierge, lifestyle manager, organiser or project coordinator;
d. in selected cases, provide certain services in its own name.
2.2 No Guarantee of Availability
Membership does not guarantee the availability of any specific benefit, reservation, room category, event ticket, upgrade, supplier, access right, experience, restaurant table, transportation service or other service element, unless expressly confirmed in writing by Galvano.
2.3 Third-Party Dependency
Many services offered through Galvano depend on the availability, inventory, acceptance, policies, pricing, capacity, operating decisions and performance of third-party suppliers such as hotels, airlines, restaurants, venues, promoters, transport providers, event organisers, wellness providers, guides, retailers or other service providers (“Suppliers”).
3. Membership Application and Acceptance
3.1 Eligibility
Applications for membership may be submitted by natural persons with legal capacity and by legal entities validly existing under the laws applicable to them.
3.2 Application Process
Membership applications may be submitted through Galvano’s website, by email, by telephone, via a lifestyle manager, or through any other channel accepted by Galvano.
3.3 Information Provided by the Applicant
The applicant must provide complete, accurate and up-to-date information requested by Galvano, including contact and billing information. The applicant shall promptly inform Galvano of any changes.
3.4 Right to Accept or Reject
Galvano may, at its sole discretion and without stating reasons, accept or reject any membership application, provided that mandatory law is respected.
3.5 Formation of Membership Agreement
A membership agreement becomes effective only upon Galvano’s written acceptance of the application or other express confirmation of membership.
4. Membership Categories and Member Accounts
4.1 Membership Categories
Galvano may offer different membership categories, plans, access levels, benefits bundles or corporate structures from time to time. The current categories, fees, scope of services and key limitations are communicated separately by Galvano.
4.2 One Account / Authorised Users
Unless otherwise agreed in writing:
a. an individual membership is personal to the named Member;
b. a corporate membership may only be used by the legal entity and the authorised users designated by it and accepted by Galvano;
c. the Member is responsible for all use of the membership by authorised users.
4.3 No Property Right in Membership
Membership is a contractual access right and not a property right. Membership does not create any ownership right in Galvano, any Supplier, or any underlying event, product, inventory or benefit.
5. Membership Term, Renewal and Termination
5.1 Initial Term
Unless otherwise stated in the applicable offer or membership confirmation, membership is concluded for an initial fixed term of twelve (12) months commencing on the date stated in the membership confirmation.
5.2 Renewal
Unless otherwise agreed in writing, membership renews automatically for successive periods of twelve (12) months unless terminated in accordance with this Section 5.
5.3 Ordinary Termination by the Member
The Member may terminate the membership by written notice with effect as of the end of the current membership term. Unless otherwise agreed in writing, the notice must be received by Galvano at least thirty (30) days before the renewal date.
5.4 No Retroactive Termination
Termination does not affect fees, charges, bookings, confirmed supplier commitments or payment obligations already incurred before the effective termination date.
5.5 Termination for Cause by Galvano
Galvano may terminate the membership or suspend services with immediate effect for cause, including where:
a. the Member materially breaches these Terms or supplier terms;
b. payment remains overdue after reminder;
c. the Member, an authorised user or a person acting on the Member’s behalf engages in abusive, unlawful, fraudulent, threatening, discriminatory, violent, harassing or otherwise inappropriate conduct;
d. Galvano reasonably suspects misuse of membership, payment instruments, benefits or booking channels;
e. continued performance would expose Galvano to legal, reputational, compliance or security risks.
5.6 Consequences of Termination
Upon termination or expiry of membership:
a. all non-accrued future membership rights cease;
b. Galvano may close or restrict the member account;
c. confirmed bookings and services already accepted by Suppliers may remain subject to the relevant supplier terms and payment obligations;
d. Sections intended by their nature to survive termination shall remain in force.
6. Membership Fees and Payment of Membership Fees
6.1 Membership Fees
Membership fees are stated in the applicable offer, membership confirmation, invoice or pricing communication.
6.2 Due Date
Unless otherwise agreed, membership fees are payable in advance upon acceptance of the application and thereafter before each renewal date.
6.3 Payment Method
Galvano may require payment by bank transfer, debit/credit card, direct debit or any other payment method accepted by Galvano.
6.4 Automatic Renewal Charges
If the Member has provided a valid payment method for recurring membership charges, the Member authorises Galvano to charge the applicable renewal fee on or shortly before the renewal date in accordance with the agreed payment setup and applicable law.
6.5 Non-Payment
If payment is not received when due, Galvano may suspend membership benefits, refuse new bookings, cancel unconfirmed service requests, charge default interest to the extent permitted by law, and/or terminate the membership for cause after reminder.
6.6 Membership Fee Refunds
Unless otherwise expressly agreed in writing, membership fees are non-refundable once the membership term has started, except where mandatory law requires otherwise or where Galvano expressly grants a refund on a goodwill basis.
7. Service Requests, Orders and Bookings
7.1 Request Channels
Members may submit requests by email, telephone, messaging services, online forms, member portal or through their designated lifestyle manager.
7.2 No Obligation to Accept Every Request
Galvano is not obliged to accept every service request, especially where the requested service is unavailable, unlawful, operationally unreasonable, outside Galvano’s service scope, or inconsistent with Galvano’s standards, risk policies or compliance obligations.
7.3 Booking and Order Confirmation
A service request, order, booking or reservation becomes binding only when and to the extent Galvano or the relevant Supplier expressly confirms it.
7.4 Accuracy of Instructions
The Member is responsible for ensuring that all information, instructions, names, dates, passport data, travel details, billing information, dietary requirements, preferences and other booking-relevant details provided to Galvano are complete and accurate.
7.5 Member Responsibility for Travellers / Guests / Attendees
The Member is responsible for all persons included in a booking or request made on the Member’s behalf, including family members, guests, travellers, attendees, employees or authorised users.
8. Galvano as Intermediary / Agent and Third-Party Supplier Services
8.1 Intermediary Role
Unless Galvano expressly states otherwise in writing, Galvano acts primarily as an intermediary, organiser, coordinator or disclosed agent for the procurement or arrangement of third-party goods and services.
8.2 Contract with Supplier
Where Galvano arranges or procures a third-party service, the contract for the relevant service may be concluded directly between the Member and the relevant Supplier, even if the booking, communication, payment handling or coordination is performed through Galvano.
8.3 Supplier Terms
Third-party services are subject to the relevant Supplier’s terms and conditions, including rules regarding payment, cancellation, no-show, changes, refunds, baggage, conduct, check-in, access, health and safety, force majeure, age restrictions and liability.
8.4 Supplier Responsibility
Suppliers are solely responsible for the performance of the third-party goods and services they provide, including their quality, legality, safety, suitability, delivery, execution, cancellation and refund handling, subject to the contractual arrangements applicable to the relevant booking.
8.5 Galvano’s Coordination Efforts
Where issues arise with a Supplier booking, Galvano may, as a courtesy and without assuming an independent legal obligation beyond mandatory law and its own contractual duties, assist the Member in communications and resolution efforts with the Supplier.
9. Prices, Charges and Payment for Concierge and Supplier Services
9.1 Price Components
The total amount payable by the Member may include, depending on the relevant service:
a. supplier prices, fares, room rates, ticket prices or retail prices;
b. Galvano service fees, sourcing fees, concierge fees, management fees or booking fees;
c. taxes, VAT, local taxes, city taxes, duties, resort fees or service charges;
d. courier, delivery, insurance, foreign exchange or payment processing charges;
e. cancellation, amendment, reissue, rebooking or no-show charges.
9.2 Quotes and Estimates
Quotes, estimates and indicative budgets are non-binding unless expressly stated otherwise. Prices and availability may change until booking confirmation.
9.3 Advance Funding / Card Authorisation
Galvano may require advance payment, a deposit, card pre-authorisation, card-on-file arrangement or full pre-funding before commencing work, making a booking, purchasing tickets, placing an order or committing to third-party costs.
9.4 Authority to Charge
If the Member instructs Galvano to make purchases, reservations or payments on the Member’s behalf, the Member authorises Galvano to charge the relevant amounts, including agreed service fees and pass-through costs, to the designated payment method.
9.5 Reimbursement of Out-of-Pocket Costs
The Member shall reimburse Galvano for reasonable third-party costs, disbursements and expenses incurred on the Member’s instruction or in connection with the execution of the requested services.
10. Tickets, Events, Hospitality and Special Procurement
10.1 Premium Procurement
Galvano may source tickets, tables, hospitality access, private access, sold-out inventory or premium allocations through its network, market contacts or specialised suppliers. Prices may exceed face value where legally permissible and where this is part of the procurement structure.
10.2 Event Changes
Events, performances, travel schedules, venues, line-ups, opening hours, room categories, seating layouts and supplier offerings may be changed, postponed, restricted or cancelled by the relevant Supplier or organiser.
10.3 Seating / Room / Upgrade Requests
Specific seating, room, view, table, artist access, backstage access, VIP treatment, upgrade or other preferential requests are requests only unless expressly confirmed in writing.
10.4 Delivery of Tickets / Documents
Tickets, vouchers, confirmations or travel documents may be delivered electronically, physically, through will-call, concierge handover, venue collection or other methods determined by the Supplier or Galvano.
11. Cancellations, Amendments and Refunds
11.1 Membership Fees
Membership fee cancellation and refund rules are governed by Section 6.
11.2 Supplier Services
Bookings, reservations, tickets, hotel stays, travel services, experiences and other third-party services are subject to the cancellation, amendment and refund rules of the relevant Supplier, unless Galvano expressly agrees otherwise in writing.
11.3 Galvano Service Fees
Unless otherwise agreed in writing, Galvano’s service fees, sourcing fees, booking fees, procurement fees and management fees are non-refundable once the relevant work has commenced or the booking has been confirmed.
11.4 Member-Initiated Cancellation
If the Member cancels a confirmed booking or service, the Member remains liable for all non-recoverable amounts, including supplier cancellation fees, non-refundable deposits, ticket costs, committed procurement costs and Galvano service fees already earned.
11.5 Refund Handling
Where a refund is due from a Supplier, Galvano will pass through the amount actually received from the Supplier to the Member after deduction of any non-refundable Galvano fees, bank charges, FX losses or other agreed costs, unless mandatory law requires otherwise.
11.6 No-Show / Missed Use
No refunds are owed for no-shows, missed flights, missed check-ins, missed event entry, failure to use a service, or failure to present valid documentation, except to the extent the applicable Supplier terms or mandatory law provide otherwise.
12. Member Obligations and Acceptable Conduct
12.1 Lawful and Appropriate Use
The Member shall use the membership, Galvano’s services and any booked third-party services lawfully, in good faith and in a manner consistent with premium hospitality, safety and professional standards.
12.2 Prohibited Conduct
The Member and any person acting on the Member’s behalf shall not:
a. engage in abusive, threatening, harassing, discriminatory, obscene, defamatory or violent conduct;
b. use Galvano’s services for unlawful, fraudulent, deceptive, harmful or unethical purposes;
c. provide false identity, payment or travel information;
d. misuse a booking, benefit, upgrade, invitation, ticket allocation, membership privilege or partner arrangement;
e. resell, broker, transfer or commercially exploit membership benefits or bookings without Galvano’s prior written consent;
f. expose Galvano, its staff, Suppliers or other members to security, compliance, reputational or operational risks.
12.3 Compliance with Supplier Rules
The Member must comply with all rules, conditions, access restrictions, dress codes, health and safety requirements and conduct policies imposed by Suppliers.
12.4 Responsibility for Authorised Users and Guests
The Member is fully responsible for the conduct, compliance and payment obligations of all persons included in or benefiting from a booking or request made under the Member’s account.
13. Membership Card, Credentials and Account Security
13.1 Membership Credentials
Any physical or digital membership card, account credential, access code, membership number or member profile issued by Galvano remains Galvano’s property or under Galvano’s control.
13.2 Personal Use / Authorised Use
Membership credentials may only be used by the Member or, in the case of a corporate membership, by authorised users designated in accordance with the applicable corporate membership arrangement.
13.3 Duty to Protect Access
The Member must keep account credentials, payment details and membership identifiers confidential and secure.
13.4 Notification of Misuse
The Member must notify Galvano without undue delay if credentials are lost, stolen, misused or compromised.
14. Suspension, Refusal of Service and Exclusion
14.1 Right to Suspend or Refuse
Galvano may suspend membership, block account access, refuse a booking request, refuse further services or require prepayment where objectively justified by legal, operational, payment, fraud, safety, compliance or reputational concerns.
14.2 Immediate Measures
Galvano may take immediate action where necessary to protect Galvano, Suppliers, staff, other members or third parties.
14.3 Effect on Existing Payment Obligations
Suspension, refusal of service or termination does not release the Member from payment obligations already incurred.
15. Data Protection and Communications
15.1 Processing of Personal Data
Galvano processes personal data in connection with membership administration, concierge services, bookings, supplier coordination, billing, fraud prevention, customer support, legal compliance, service delivery and relationship management.
15.2 Privacy Notice
Further information on the processing of personal data, categories of data, purposes, legal basis where applicable, recipients, cross-border transfers, retention and data subject rights is set out in Galvano’s privacy notice, which forms part of the overall contractual framework.
15.3 Data Sharing with Suppliers and Service Providers
The Member acknowledges that Galvano may share personal data, booking data, preference data and payment-related information with Suppliers and service providers to the extent necessary for the performance of requested services, account administration, payment handling, fraud prevention or legal compliance.
15.4 Marketing Communications
Galvano may send service-related communications required for the operation of the membership and requested services. Promotional or marketing communications shall be handled in accordance with applicable law and the Member’s communication preferences where required.
15.5 Recorded Calls and Quality Assurance
To the extent permitted by law, Galvano may record or monitor calls and communications for quality assurance, training, documentation, fraud prevention, dispute handling and security purposes.
16. Intellectual Property and Use of Materials
16.1 Ownership
All intellectual property rights in Galvano’s brand, website, materials, membership concepts, proposals, texts, visuals, itineraries, internal tools, service structures and content remain with Galvano or its licensors.
16.2 Limited Use
The Member may use Galvano-provided materials solely for personal or internal business purposes in connection with the relevant membership or booked services. Any commercial reuse, republication, resale or public distribution requires Galvano’s prior written consent.
17. Warranties and Service Standard
17.1 Galvano’s Standard of Care
Galvano shall perform its own contractual services with due care customary for a premium concierge and lifestyle management business.
17.2 No Warranty of Outcome
Unless expressly agreed otherwise in writing, Galvano does not warrant that:
a. any requested booking or benefit will be available;
b. any specific result, saving, upgrade, access or commercial advantage will be achieved;
c. third-party services will be uninterrupted, error-free or satisfactory in every respect.
17.3 Information from Suppliers
Descriptions, images, availability data, schedules, menus, room information, seating plans and other supplier information may originate from Suppliers. Galvano is not responsible for inaccuracies originating from Suppliers, except where Galvano has independently assumed responsibility for specific information in writing or where mandatory law provides otherwise.
18. Liability
18.1 General Principle
Galvano is liable to the Member for damage caused by Galvano in breach of contract or otherwise only in accordance with this Section 18 and subject to mandatory law.
18.2 No Exclusion for Intent and Gross Negligence
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is not permitted under applicable mandatory law. In particular, Galvano does not exclude liability for unlawful intent (wilful misconduct) or gross negligence to the extent such exclusion would be invalid under Swiss law.
18.3 Exclusion of Certain Types of Loss
To the extent permitted by law, Galvano shall not be liable for indirect or consequential losses, loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, reputational loss or pure expectation loss arising from or in connection with the membership or any service, except in cases of wilful misconduct or gross negligence where mandatory law prevents such exclusion.
18.4 Liability for Third-Party Services
Where Galvano acts solely as intermediary, coordinator or agent for third-party services, Galvano is not liable for the acts, omissions, insolvency, cancellation, non-performance, delay, overbooking, quality issues, safety issues or other defaults of Suppliers, except to the extent Galvano itself has breached its own duties of care, instruction handling, payment handling or coordination obligations.
18.5 Liability Cap for Galvano’s Own Services
To the extent permitted by law and except in cases of wilful misconduct, gross negligence, death or personal injury or other mandatory liability, Galvano’s aggregate liability arising out of or in connection with a specific claim shall be limited to the lesser of:
a. the fees actually paid to Galvano by the Member for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim; or
b. CHF [insert cap, e.g. 25,000].
For claims relating solely to membership administration rather than a specific service order, Galvano’s aggregate liability shall be limited to the membership fee paid by the Member for the current membership year.
18.6 Member Instructions and Contributory Causes
Galvano shall not be liable for losses caused by incomplete, incorrect, late or misleading information or instructions provided by the Member or by persons acting on the Member’s behalf.
18.7 Duty to Mitigate
The Member shall take reasonable steps to mitigate any loss.
19. Force Majeure and Circumstances Beyond Control
19.1 Force Majeure
Galvano shall not be liable for delay, non-performance or reduced performance caused by events beyond Galvano’s reasonable control, including acts of God, severe weather, epidemic or pandemic events, war, terrorism, strikes, transport disruption, supplier shutdowns, government restrictions, venue closures, technical outages, cyber incidents, payment network failures or other force majeure events.
19.2 Consequences
In such cases Galvano may suspend, reschedule, modify or cancel the affected services to the extent reasonably necessary. Amounts recoverable from Suppliers, if any, will be handled in accordance with Section 11.
20. Complaints and Claims
20.1 Prompt Notification
The Member must notify Galvano without undue delay of any complaint, defect, booking issue, service problem, overcharge or other claim relevant to Galvano’s services.
20.2 Cooperation
The Member shall provide all documents, screenshots, confirmations, invoices and other evidence reasonably requested by Galvano for the investigation and handling of the issue.
20.3 Time Limit for Obvious Issues
Obvious errors in confirmations, ticket details, names, travel dates or service specifications must be reported immediately upon receipt of the relevant confirmation or document.
21. Assignment, Transfer and Corporate Changes
21.1 No Transfer by the Member
Unless expressly agreed otherwise in writing, the Member may not assign, transfer, pledge, resell or otherwise dispose of the membership or any rights or benefits under it.
21.2 Transfer by Galvano
Galvano may transfer or assign these Terms or the contractual relationship, in whole or in part, to an affiliated company or in connection with a merger, acquisition, restructuring or sale of business, provided that the Member’s legitimate interests are respected.
22. Amendments to These Terms
22.1 Right to Amend
Galvano may amend these Terms from time to time for legitimate reasons, including legal, regulatory, operational, commercial, technical or service-related reasons.
22.2 Notice of Changes
Material changes shall be communicated to Members in an appropriate form, such as email, website notice, account notice or other durable communication channel, within a reasonable notice period before they take effect, unless an immediate change is required by law, regulation or security considerations.
22.3 Effect of Continued Use
If the Member continues to use the membership or Galvano’s services after the effective date of the amended Terms, this shall constitute acceptance of the amended Terms, unless mandatory law requires a different mechanism.
22.4 Right to Terminate in Case of Material Change
If a material amendment significantly disadvantages the Member, the Member may terminate the membership with effect as of the effective date of the amendment by written notice received before that date, unless the amendment is required by mandatory law.
23. Severability
If any provision of these Terms is or becomes wholly or partly invalid, unenforceable or ineffective, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that most closely reflects the commercial purpose of the invalid provision.
24. No Waiver
Any failure or delay by Galvano in exercising a right or remedy shall not constitute a waiver of that right or remedy.
25. Governing Law and Jurisdiction
25.1 Governing Law
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by substantive Swiss law, excluding conflict of laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG), to the extent applicable.
25.2 Jurisdiction
Subject to mandatory statutory places of jurisdiction, the courts of Zurich, Switzerland shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, the membership or any services provided by Galvano.

Schedule 1 – Optional Definitions for Operational Use
For internal drafting consistency, Galvano may use the following defined terms in offers, membership schedules or service documents:
-
“Membership Year” means each 12-month period of a membership term.

“Lifestyle Manager” means the Galvano representative assigned to the Member.

“Benefits” means membership-related privileges, preferential conditions or access opportunities offered by Galvano or participating partners from time to time.

“Supplier” means any third-party provider of goods or services arranged, sourced or booked via Galvano.

“Service Fees” means fees charged by Galvano for sourcing, coordination, booking, concierge, planning, procurement or account management services.
